Introduction

The operator of this site (referred to on each page in the address block): Hexagon Metrology, Inc. and Wilcox Associates, Inc., all part of the Hexagon Metrology group (collectively "COMPANY," "us" or "we" as appropriate) are committed to safeguarding the privacy of visitors to our web sites and all pages operated by COMPANY accessed directly or indirectly by links contained within the site (collectively, the "Site"). This privacy statement explains data collection and use practices of the Site and in connection with services accessed through the Site (the "Service(s)").

1. Important Terms Used Throughout This Privacy Policy

Throughout the COMPANY Privacy Policy we use several specialized terms. "Personally Identifiable Information" is information that tells us specifically who you are, like your name, street address, email address, billing address, title and company or organization name or phone number. Anonymous Information

If you visit the Site to browse, we may collect and store anonymous site-visitation data, such as the domain name and host from which you accessed the Internet (e.g., aol.com), the IP address of your computer, your browser software and operating system, the date and time you accessed the Site and the Internet address of any web site from which you are linked directly to our site or to which you link after visiting the Site. We may use this information for website management, research and marketing functions, such as measuring the number of visitors to sections of our Site, to determine from where our visitors linked and to where our visitors link from the Site and to help us make our Site more useful. Personally Identifiable Information

We will not use Personally Identifiable Information except as described in this Privacy Policy. The Personally Identifiable Information collected on this Site may be used to operate the Site and to provide the service(s) or carry out the transaction(s) you have requested or authorized. We may also use Personally Identifiable Information to improve our products and services or to answer your questions. Cookies

Cookies are small text files that our Site can send to your browser for storage on your hard drive. Cookies can make your use of our Site easier by saving your status and preferences upon visits to our Site. We may use cookies for two purposes: (1) to enable the Site to customize some of its information for your convenience, such as "remembering" the language you selected; and (2) in some instances, to associate you with your Personally Identifiable Information. Web Beacons

The Site may contain electronic images known as Web beacons - sometimes called single-pixel gifs - that allow us to count users who have visited certain web pages and to deliver co-branded services. COMPANY may include Web beacons in promotional e-mail messages or newsletters in order to determine whether messages have been opened and acted upon. Some of these Web beacons may be placed by third party service providers to help determine the effectiveness of our advertising campaigns or email communications. Web beacons may be used by these service providers to place a persistent cookie on your computer. Doing this allows the service provider to recognize your computer each time you visit certain pages or emails and compile anonymous information in relation to those page views. COMPANY prohibits Web beacons from being used to collect or access your Personally Identifiable Information.

Public Forums

Information posted to newsgroups, chats, or other public forums may be made available to other members of those forums and is therefore considered by us to be public information to which this privacy policy does not apply. You should be cautious about posting a real e-mail address or other personally identifiable information to newsgroups, chats, or other public forums. All information and comments posted to public forums under control of COMPANY becomes property of COMPANY and may be edited, removed, or used for any purpose the COMPANY may choose.

3. Your Choice To Opt Out

If you do not want to provide us with certain Personally Identifiable Information, you may opt out by not using the Service that provides us with such Personally Identifiable Information. For example, if you do not want us to retain your name, then you may choose not to become a registered user, not to send us a communication, or not to purchase products through the Site. You will not be entitled to the benefits of registration or a response to the communication, but you are still free to browse the Site.

The COMPANY may send out periodic e-mails informing you of technical service or security issues related to a product or service you requested, or confirming you requested a product or service. In some services offered by The Site, contact with the customer is an intrinsic part of the service. You will not be able to choose to unsubscribe to these mailings, as they are considered an essential part of the service(s) you have chosen or the products you have purchased.

4. Use of Sensitive Information

Company does not collect and does not wish to receive any sensitive information about you, including information about your racial or ethnic origins, political or religious beliefs, your social security number, genetic makeup, health or sex life. Please do not provide any sensitive information through the Site.

Protection of Children's Personally Identifiable Information

We do not knowingly collect any Personally Identifiable Information from or about children under the age of 13. If a child has provided us with Personally Identifiable Information, a parent or guardian of that child may contact us at the addresses listed elsewhere in this Privacy Policy if they would like this information deleted from our records. We will use reasonable efforts to delete the child’s information from our databases.

5. Onward Transfer of Information

Except as otherwise described in this Privacy Policy, Personally Identifiable Information you provide on the Site will not be shared outside of Company and its subsidiaries and affiliates without your permission. We may disclose anonymous information when consistent with our business standards.

Company occasionally hires other companies to provide limited services on our behalf, such as Web site hosting, packaging, answering customer questions about products and services, and sending information about our products, special offers, and other services. We will only provide those companies the Personally Identifiable Information they need to deliver the service. If COMPANY or any of its lines of business is sold, pledged or disposed of as a going concern whether by merger, sale of assets, bankruptcy or otherwise, then the user database of COMPANY could be sold as part of that transaction and all Personally Identifiable Information may be accessed by such successor or purchaser.

Company is committed to protecting the security of your Personally Identifiable Information. We use a variety of security technologies and procedures to help protect your Personally Identifiable Information from unauthorized access, use, or disclosure. For example, we store the Personally Identifiable Information you provide on computer servers that have limited access and are located in controlled facilities. 7. Accessing, Correcting, Updating and Deleting Your Personally Identifiable Information

Upon your request, we will use reasonable efforts to remove your Personally Identifiable Information from our active databases and correct any errors you identify in such information. If Personally Identifiable Information is removed, you will lose access to the parts of the Site for which you must provide such Personally Identifiable Information to gain access. After removal, we will only retain copies of such information as are necessary for us to comply with governmental orders, resolve disputes, troubleshoot problems, enforce any agreement you have entered into through our Site and as otherwise reasonably necessary. For future reference, COMPANY will make a link to the current COMPANY Privacy Policy available to you on your screen when you access the home page of our Site. Your use of the Site constitutes your agreement to the COMPANY Privacy Policy and your assent to any modification thereto. In the event a COMPANY product or service is listed at an incorrect price due to typographical error or error in pricing information received from our suppliers, COMPANY shall have the right to refuse or cancel any orders placed for product or service listed at the incorrect price. COMPANY shall have the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, COMPANY shall issue a credit to your credit card account in the amount of the incorrect price. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY. YOUR ACCEPTANCE OF THIS LIMITATION OF LIABILITY IS AN ESSENTIAL TERM OF THIS AGREEMENT AND THE PARTIES ACKNOWLEDGE THAT COMPANY WOULD NOT GRANT ACCESS TO THE SITE WITHOUT YOUR AGREEMENT TO THIS TERM.

13. International Use

Software and other materials from this Site may be subject to Export Control laws, which prohibit the export of certain technical data and software to certain territories. No software from this Site may be downloaded or exported to any such countries, companies and/or individuals that may be subject to such export restrictions. COMPANY does not authorize the downloading or exportation of any software or technical data from this Site to any jurisdiction prohibited by the Export Laws. This prohibition shall survive the termination of this Agreement however termated.

14. Termination

COMPANY reserves the right at any time to modify or discontinue, temporarily or permanently, the Site (or any part thereof) and/or to terminate any rights to use the Site or information, software or items obtained through the Site, with or without notice, for any reason or no reason whatsoever. You agree that COMPANY shall not be liable to you or any third party for any modification, suspension or discontinuance of the Site.

15. Notices and Procedures for Making Claims of Copyright Infringement

Notifications of claimed copyright infringement should be sent to the Site's designated agent whose address is set out below. ALL INQUIRIES NOT RELEVANT TO OR NOT COMPLYING WITH THE FOLLOWING PROCEDURE WILL RECEIVE NO RESPONSE. COMPANY respects the intellectual property of others, and we ask our users and visitors to do the same. COMPANY will process and investigate notices of alleged infringement and will take appropriate actions under any applicable intellectual property laws. Upon receipt of a notice complying with the requirements set out below, COMPANY will act to remove or disable access to any material COMPANY believes to be infringing. If COMPANY believes that the information or material identified in a notice does not infringe a valid third party right, COMPANY may, but is not obligated to, return or re-enable the material.

If you believe that your work has been copied in a way that constitutes copyright infringement, please provide COMPANY the following information. Please be advised that to be effective, the Notification must include ALL of the following:

  • A physical or electronic signature of the person authorized to act on behalf of the owner of an exclusive copyright that is allegedly infringed;
  • a description of the copyrighted work that you claim has been infringed;
  • a description of where the material that you claim is infringing is located on the Site;
  • your address, telephone number, and email address and all other information reasonably sufficient to permit COMPANY to contact you;
  • a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
  • a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

16. General Information

The Terms of Use described herein constitute the entire agreement between you and COMPANY regarding use of the Site, superseding any prior agreement between you and COMPANY regarding use of the Site. COMPANY shall not be bound by any additional or different terms unless expressly agreed in a writing signed by an authorized COMPANY representative. Your use of this Site shall be governed in all respects by the substantive laws of the sate of Rhode Island, without regard to its conflict of law provisions, and not by the U.N. Convention on contracts for the international sale of goods. You agree that jurisdiction over and venue in any legal proceeding directly or indirectly arising out of or relating to the Terms of Use or use of the Site (including but not limited to the purchase of COMPANY products) shall be exclusively in the courts of Rhode Island and you agree to bring any suit connected with the Site or based on the Terms of Use solely in such courts. Any cause of action or claim you may have with respect to the Site or services provided through the Site (including but not limited to the purchase of COMPANY products or services must be commenced within one (1) year after the claim or cause of action arises. COMPANY’s failure to insist upon or enforce strict performance of any provision of these terms and conditions shall not be construed as a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. COMPANY may assign its rights and duties under this Agreement to any party at any time without notice to you.
